Terms of Service

Last Updated: October 22, 2026

1. Overview

Welcome to Optimus Gear Manufacturing.

This website is operated by Optimus Gear Corp., doing business as Optimus Gear Manufacturing ("OGM," "we," "us," or "our").

These Terms of Service govern your access to and use of our website, including its content, features, contact forms, quotation requests, and related services (collectively, the "Services").

By accessing or using our website, you agree to these Terms of Service and acknowledge our Privacy Policy. If you do not agree, please discontinue use of the website.

Nothing in these Terms limits rights that cannot legally be excluded under applicable law.

2. Our Services

Optimus Gear Manufacturing provides industrial sewing, textile fabrication, CNC cutting, prototyping, custom equipment protection, and related contract manufacturing services.

Information presented on our website is intended to provide a general overview of our capabilities and potential manufacturing solutions.

We make reasonable efforts to maintain accurate information. However, available materials, equipment capabilities, production methods, specifications, and services may change without notice.

Descriptions, examples, photographs, and project information are illustrative and do not constitute a guarantee of suitability, product performance, certification, or manufacturing availability.

Specific project requirements must be reviewed and confirmed by OGM before production.

3. Inquiries and Requests for Quotation

Our website allows prospective customers to contact us and request quotations for manufacturing services.

Submitting an inquiry, drawing, project description, or request for quotation does not constitute a purchase order, manufacturing agreement, or binding commitment by either party.

All quotations are subject to review of the applicable project requirements, including materials, specifications, quantities, labour, production complexity, and scheduling.

We reserve the right to request additional information, revise quotations where appropriate, or decline projects based on our capabilities, available resources, or other legitimate business considerations.

Quotations are valid for the period stated in the individual quotation, if applicable.

4. Manufacturing Orders and Agreements

Manufacturing orders are governed by the specific terms agreed upon between OGM and the customer.

These may include:

  • Approved drawings, specifications, and production requirements

  • Pricing, quantities, and minimum order requirements

  • Deposits, payment schedules, and payment terms

  • Material sourcing and availability

  • Production timelines and delivery arrangements

  • Changes, cancellations, warranties, and remedies

  • Other project-specific requirements

An inquiry or quotation does not, by itself, establish a manufacturing contract. Order acceptance will be confirmed through written communication or other mutually agreed documentation.

Where an accepted quotation, purchase order, manufacturing agreement, or other expressly agreed written terms conflict with these website Terms of Service, the project-specific agreement will take precedence for that manufacturing project.

These website Terms of Service do not replace separately negotiated manufacturing contracts.

5. Customer Designs, Drawings, and Confidential Information

We recognize that customers may provide proprietary drawings, technical specifications, product concepts, samples, and other commercially sensitive information when requesting manufacturing services.

Ownership of customer-provided intellectual property remains with the customer or its respective rights holder.

By submitting project materials, the customer authorizes OGM to review and use those materials as reasonably necessary to evaluate manufacturing feasibility, prepare quotations, communicate about the project, and perform any subsequently agreed manufacturing services.

OGM will not claim ownership of customer-provided designs solely because they have been submitted through our website.

We will take reasonable measures to protect confidential project information and will not intentionally publish, sell, or use such information for unrelated commercial purposes without appropriate authorization.

Confidential project information may be shared with employees, contractors, suppliers, or professional advisers where reasonably necessary for project evaluation or performance, subject to appropriate confidentiality safeguards.

Confidentiality obligations do not extend to information that is already publicly available, independently developed without reference to the customer's confidential information, lawfully obtained from another source without a confidentiality restriction, or required to be disclosed by law.

Customers are responsible for ensuring they have the necessary rights to submit materials for evaluation and manufacturing.

For projects involving particularly sensitive intellectual property or confidentiality requirements, customers are encouraged to arrange a separate Non-Disclosure Agreement (NDA) with OGM before providing detailed proprietary information.

Any intellectual property developed during a manufacturing project, including ownership of new designs, tooling, production methods, or technical improvements, will be governed by the applicable project agreement.

6. Our Intellectual Property

Unless otherwise indicated, the website's content, including photographs, text, graphics, logos, illustrations, and other original materials, is owned by Optimus Gear Corp. or used with permission.

These materials are protected by applicable intellectual property laws.

You may view and use website content for legitimate business evaluation and informational purposes. You may not reproduce, distribute, modify, sell, or commercially exploit our website content without prior written authorization, except as permitted by law.

OGM retains ownership of its pre-existing manufacturing knowledge, proprietary processes, independently developed designs, and other intellectual property, subject to any separately agreed contractual obligations.

Nothing in this section transfers ownership of customer-provided intellectual property to OGM.

7. Pricing and Payment

Unless expressly stated otherwise, our website does not constitute an offer to sell manufacturing services at a fixed price.

Manufacturing pricing is established through individual quotations and agreements based on project-specific requirements.

Quoted prices may be subject to applicable taxes, shipping, freight, material costs, or other charges as specified in the quotation.

Payment terms, deposits, and accepted payment methods will be communicated and agreed upon as part of the applicable manufacturing order.

No payment obligation arises solely from submitting a website inquiry or requesting a quotation.

8. Production and Delivery

Production schedules and delivery arrangements are determined on a project-by-project basis.

Any general timelines discussed through our website are estimates unless expressly confirmed as binding in a separate written agreement.

Material availability, specification changes, supplier delays, and other production considerations may affect manufacturing schedules.

Shipping methods, freight charges, delivery responsibilities, and transfer of risk will be established through the applicable project agreement or as otherwise required by law.

9. Acceptable Website Use

You agree to use our website only for lawful purposes.

You may not:

  • Submit deliberately false or misleading information.

  • Upload malicious software or interfere with website security.

  • Attempt unauthorized access to our systems or information.

  • Use our website to infringe upon another party's intellectual property rights.

  • Collect information through unauthorized automated methods that disrupt or interfere with website operations.

  • Use the website in a manner that violates applicable laws or regulations.

We reserve the right to restrict website access where reasonably necessary to protect our systems, business, or other users.

10. Privacy and Personal Information

We respect the privacy of customers and website visitors.

Personal information collected through our website, including contact details and information submitted through inquiry forms, is handled in accordance with our published Privacy Policy.

Our website is powered by Shopify, and certain information may be processed by Shopify or authorized service providers to support website functionality, communications, and related operations.

Please review our Privacy Policy for additional information about the collection, use, disclosure, and protection of personal information.

11. Third-Party Services and Links

Our website may include services, integrations, or links provided by third parties.

These may include website hosting, analytics, communication tools, or external websites.

While we may use third-party services to support our operations, OGM does not control or assume responsibility for the content, availability, or independent practices of external websites.

12. Errors and Inaccuracies

We reserve the right to correct errors, inaccuracies, or omissions appearing on our website.

These may relate to manufacturing capabilities, product descriptions, specifications, availability, or other published information.

Website information may be updated without prior notice.

Any material changes to an accepted manufacturing agreement will be addressed in accordance with that agreement and applicable law.

13. Disclaimer of Website Warranties

Our website and its informational content are provided on an "as available" basis.

While we make reasonable efforts to maintain accurate and accessible information, we do not guarantee that the website will be uninterrupted, error-free, or free from technical issues.

To the extent permitted by applicable law, OGM disclaims warranties relating to the operation of the website and the accuracy or completeness of general website content.

This disclaimer applies to website use and general information. It does not replace or eliminate warranties, obligations, or remedies expressly established under an accepted manufacturing agreement or required by applicable law.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Optimus Gear Corp., its directors, employees, representatives, and service providers will not be liable for indirect, incidental, special, or consequential damages arising solely from access to or use of this website, including website interruptions, technical errors, or reliance on unconfirmed website information.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

Liability relating to separately contracted manufacturing work, including defective products, nonconforming work, delivery obligations, or other contractual responsibilities, will be determined under the applicable manufacturing agreement and relevant law.

15. Electronic Communications

By contacting us through our website, you agree that we may respond electronically regarding your inquiry, quotation, or related business communications.

This does not constitute consent to receive unrelated promotional communications where separate consent is required by applicable law.

Customers are responsible for providing accurate contact information when submitting inquiries.

16. Governing Law

These Terms of Service are governed by the laws of the Province of Manitoba and the applicable federal laws of Canada.

Subject to any mandatory legal requirements, disputes relating to these website Terms of Service will be subject to the jurisdiction of the courts of Manitoba.

Separate manufacturing agreements may establish their own applicable governing law and dispute resolution provisions.

17. Severability

If any provision of these Terms of Service is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

18. Changes to These Terms

We may update these Terms of Service periodically to reflect changes in our website, business operations, or applicable legal requirements.

The most current version will be available on this page, together with its last updated date.

Changes will apply prospectively to website use, subject to applicable law, and will not automatically modify existing manufacturing agreements.
